DIGITAL ACCESSIBILITY AGREEMENT

This Digital Accessibility Agreement (“Agreement”) is made and entered into as of the __________ day of __________, 20__ by and between Rediafile, a [State] corporation, with a principal place of business at [Address] (“Company”), and the user accessing the Company's website and products (“User”).

RECITALS

WHEREAS, Company recognizes the importance of providing accessible digital experiences for all individuals, including those with disabilities;

WHEREAS, User desires to engage with Company’s digital offerings and may require assistance regarding accessibility;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:

1. PARTIES TO THE AGREEMENT

1.1 Rediafile, herein referred to as “Company” or “we,” is dedicated to providing inclusive digital access.

1.2 The “User” includes any individual or entity accessing or using Company’s digital offerings, including but not limited to the website.

2. DEFINITIONS AND INTERPRETATIONS

2.1 “Digital Offerings” refers to all electronic platforms, websites, applications, content, and products provided by the Company.

2.2 “Accessibility” refers to the design and implementation of digital materials that allow individuals, including those with disabilities, to perceive, understand, navigate, and interact with our digital offerings effectively.

2.3 “Feedback” means any comments, suggestions, and assessments pertaining to the accessibility of our Digital Offerings.

3. TERMS AND CONDITIONS

3.1 Accessibility Commitment  
Company is committed to ensuring that our Digital Offerings comply with the standards established by the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA and applicable legislation, including but not limited to the Americans with Disabilities Act (ADA).

3.2 Accessibility Features  
Company strives to incorporate accessibility features into its Digital Offerings, including but not limited to:
   a) Alternative text for images;
   b) Keyboard navigation;
   c) Video captions and transcripts;
   d) Consistent navigational structures.

3.3 User Responsibility  
User acknowledges that while Company is committed to accessibility, the User is responsible for utilizing assistive technologies or tools where necessary to access and use the Digital Offerings.

4. DUTIES AND OBLIGATIONS

4.1 Company’s Obligations  
Company shall:
   a) Continuously work to improve the accessibility of its Digital Offerings;
   b) Provide support and resources to assist Users with accessibility-related inquiries and issues;
   c) Review Feedback regarding accessibility and implement reasonable suggestions.

4.2 User’s Obligations  
User agrees to provide timely and constructive Feedback regarding any accessibility challenges encountered. User may submit Feedback through:
   a) Online Ticket Submission;
   b) Direct Email to abus@rediafile.com.

5. CONFIDENTIALITY

5.1 Confidentiality Commitment  
Company shall maintain the confidentiality of all Feedback provided by the User and shall not disclose any personally identifiable information without the User’s explicit consent, unless required by law.

5.2 Feedback Usage  
Company may use the Feedback to enhance its Digital Offerings, improve accessibility features, and for internal quality control purposes.

6. TERM AND TERMINATION

6.1 Effective Date  
This Agreement shall commence on the date first written above and shall remain in effect until terminated by either party.

6.2 Termination for Convenience  
Either party may terminate this Agreement for any reason by providing written notice of intention to terminate, at least ____ days in advance.

7. DISPUTE RESOLUTION

7.1 Negotiation  
In the event of a dispute arising from this Agreement, the parties shall first attempt to resolve the matter amicably through good faith negotiations.

7.2 Mediation  
If the dispute cannot be resolved through negotiation, the parties agree to submit to mediation before a mutually agreed-upon mediator.

7.3 Arbitration  
Any disputes not resolved through mediation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall occur in [City, State].

8. INDEMNIFICATION AND LIABILITY
